Terms of Use
These Terms of Use ("Terms") govern your access to and use of RaiseNova (the "Platform"), operated by Asea Capital Group LLC ("ACG," "we," "us"). By accessing the Platform you agree to these Terms. If you do not agree, do not use the Platform.
Eligibility & Accounts
You must be at least 18 and able to form a binding contract. You are responsible for your account, for keeping your access credentials secure, and for all activity under your account.
What RaiseNova Is
RaiseNova is an educational and organizational tool that helps founders assess and improve their readiness to raise capital. It provides frameworks, progress tracking, checklists, a data room, and generated summary documents based on information you enter. RaiseNova is not a broker-dealer, investment adviser, law firm, or funding portal, and it does not offer, solicit, or sell securities.
Not Legal, Financial, or Investment Advice
Nothing on the Platform is legal, tax, financial, or investment advice, and using the Platform does not create an attorney-client, adviser, or fiduciary relationship. Your Raise Readiness Score and any documents the Platform generates are informational aids based on your inputs; they are not verified or audited and are not a guarantee of fundraising success or regulatory compliance. No Preparation of Securities Documents
The Platform organizes your information and produces informational summaries. It does not prepare, review, deliver, or provide legal advice about securities offering documents such as SAFEs, convertible notes, private placement memoranda, or subscription agreements. Those require your own licensed counsel or a separate professional engagement.
Your Content & Responsibilities
You retain ownership of the information and documents you enter or upload ("Your Content"). You grant us a limited license to host and process Your Content solely to operate the Platform for you. You are responsible for the accuracy and legality of Your Content, and you represent that you have the right to provide it. Your use must comply with our Acceptable Use Policy.
Subscriptions & Billing
Paid plans are governed by our Billing & Refund Terms, which are incorporated into these Terms.
Intellectual Property
The Platform, its frameworks, assessments, and content (excluding Your Content) are owned by ACG and protected by law. You may not copy, reproduce, or redistribute them without our written permission.
Disclaimers & Limitation of Liability
The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. To the maximum extent permitted by law, ACG will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data, arising from your use of the Platform. Our total liability for any claim will not exceed the amounts you paid us in the twelve months before the claim.
Indemnification
You agree to indemnify and hold ACG harmless from claims arising out of Your Content, your use of the Platform, or your violation of these Terms or applicable law.
Termination
You may stop using the Platform at any time. We may suspend or terminate access for violation of these Terms or to protect the Platform. Provisions that by their nature should survive termination will survive.
Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Miami-Dade County, Florida.
Changes
We may update these Terms. Continued use after changes take effect constitutes acceptance.
